Terms of Service

Version 1.0 · Effective 4 November 2026

These terms are an agreement between you and Beige Orca Pty Ltd (ABN 64 693 498 298), 105B Union St, Northcote VIC 3070, Australia ("we", "us"), which runs Issued at issued.io. By creating an account or using Issued, you agree to them. If you use Issued for a business, you agree on its behalf and confirm you're authorised to do so.

1. What Issued is

Issued lets teams share documents with their clients, collect and resolve comments, collect approvals and electronic signatures, and issue sealed PDFs. "You" means the person or business with the account. A "team" is a workspace with its own subscription. "Clients" or "stakeholders" are the people you invite to review, approve or sign; they don't need an account and don't agree to these terms, but you're responsible for inviting them.

2. Accounts

  • You must give accurate details and keep your sign-in secure. You're responsible for what happens under your account and your team.
  • A team has an owner, who manages billing, members and settings, and can have up to 5 people in total.
  • You must be at least 18 and able to enter a binding contract.

3. Orders and payment: Paddle is our reseller

Our order process is conducted by our online reseller Paddle.com. Paddle is the merchant of record for all our orders: it sells you the subscription, takes payment, issues invoices, handles tax and deals with billing questions and refunds. Paddle's buyer terms also apply to your purchase.

  • Price: A$999 per team per year, plus applicable tax, unless a different price is shown at checkout. Paddle may show and charge the price in your local currency.
  • Trial: each new team starts with a 7-day trial. You enter a card at the start. If you don't cancel during the trial, Paddle charges the first year when it ends.
  • Renewal: subscriptions renew automatically each year until cancelled. We'll give you at least 30 days' notice of any price change, which applies from your next renewal.
  • Failed payments: if a payment fails, you keep access while Paddle retries. If it still can't collect payment, the subscription ends and your team becomes read-only (see section 7).

4. Refunds

Refunds follow our Refund Policy: you can ask for a refund within 14 days of a charge, via Paddle. Nothing in these terms limits your rights under the Australian Consumer Law or other consumer protection laws that can't be excluded.

5. Your content

  • You keep all rights to the documents, comments and other content you or your clients put into Issued ("your content").
  • You give us permission to store, process, display and transmit your content only as needed to run Issued for you, including sending it to the people you share it with.
  • You're responsible for your content and for having the right to share it, including any personal information about your clients in it.
  • We process personal information in your content on your behalf under our Data Processing Addendum. Our Privacy Policy explains how we handle personal information more generally.

6. Acceptable use

You must not use Issued to:

  • break the law, or infringe anyone's rights, including privacy and intellectual property;
  • upload malware, or try to get around our security, limits or other customers' data;
  • send spam or share documents with people who haven't agreed to receive them;
  • resell Issued, or use it to build a competing product.

We may suspend access to stop serious misuse or a security threat. Where we can, we'll tell you first and give you a chance to fix it.

7. Cancelling, read-only access and deletion

  • The team owner can cancel at any time in the team's billing settings.
  • During the trial: cancelling ends the trial without charge and deletes the team and all its data straight away.
  • After paying: you keep full access until the end of the year you've paid for. The team is then read-only for 90 days: you can view and export everything, but can't create, upload, share or send, and client links are paused. We'll email the owner 30 days and 7 days before deletion. After 90 days the team and its data are deleted. Renewing within the 90 days restores full access.
  • Deleting a team deletes its data straight away.
  • After deletion we keep only each sealed PDF's fingerprint (SHA-256 hash) and issue date, so the public verify page keeps working. Everyone who signed already received a copy of the sealed PDF by email.

8. Electronic signatures

Issued provides simple electronic signatures, with email verification, signer consent and an audit trail. You're responsible for deciding whether an electronic signature is suitable for each document. They are generally not suitable for deeds, documents that must be witnessed, or other documents the law requires to be signed in a particular way. We don't give legal advice. See the E-signature disclosure.

9. Availability and changes

We work to keep Issued available and secure, but we don't promise it will be uninterrupted or error-free. We may change or improve features. If we remove something important you rely on, we'll tell you in advance.

10. Liability

  • To the extent the law allows, Issued is provided "as is", and we exclude all implied warranties.
  • If the Australian Consumer Law or a similar law gives you guarantees that can't be excluded, our liability for breaching them is limited, where the law allows, to supplying the service again or paying the cost of having it supplied again.
  • To the extent the law allows, we're not liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill, and our total liability to you in any 12 months is limited to the fees you paid for Issued in that period.
  • You're responsible for claims made against us because of your content or your breach of these terms.

11. Ending this agreement

You can stop using Issued at any time. We may end your access if you seriously breach these terms and don't fix the breach within 14 days of us telling you, or straight away if the breach can't be fixed. Sections 5, 7, 10 and 12 continue after this agreement ends.

12. General

  • Changes to these terms: we'll give you at least 30 days' notice of material changes by email or in the app. If you don't agree, you can cancel before they apply.
  • Governing law: these terms are governed by the laws of Victoria, Australia, and you and we submit to the courts of Victoria. This doesn't remove any right you have to bring a claim in the courts where you live.
  • Entire agreement: these terms, the Refund Policy, the Privacy Policy and the Data Processing Addendum are the whole agreement between us about Issued.
